Terms of Service and Liability Waiver

1. Acceptance of Terms

By checking the box and/or using landsharenetwork.com (the “Site”), you agree to these Terms of Service and Liability Waiver (“Terms”). If you do not agree, do not check the box or use the Site.

2. Definitions

  • “We,” “our,” “us” and “Land Share Network” refer to Land Share Network LLC and its owners, employees, associates, and affiliates.

  • “You” and “User” refer to anyone who registers for or uses the Site.

  • “User Content” means all information, text, graphics, photos, videos, listings, profiles or other material you upload, post, transmit or display on the Site.

3. Eligibility and Account Responsibility

  1. You must be at least 18 years old and have full legal capacity to agree to these Terms.

  2. You are responsible for keeping your account credentials confidential and for all activities under your account.

4. User Content and Acceptable Use

  1. You represent and warrant that all User Content is accurate, complete, up-to-date and owned by you or properly licensed.

  2. You agree not to post User Content that:

    • Violates any law or third-party rights (including privacy, publicity, copyright or trademark).

    • Is defamatory, obscene, harassing, hateful, violent, pornographic or otherwise inappropriate.

    • Contains viruses, malware, spam, chain letters or any other harmful code.

  3. We reserve the right (but not the obligation) to monitor, refuse, or remove any User Content for any reason, including content that we deem inappropriate or in violation of these Terms.

5. License Grant

By posting User Content on the Site, you grant Land Share Network a non-exclusive, royalty-free, worldwide, sublicensable, perpetual license to use, reproduce, modify, publish, distribute and display that content in connection with operating and promoting the Site.

6. No Brokerage or Professional Advice

  1. Land Share Network is not a real estate broker, agent, attorney, insurer or financial advisor.

  2. We do not list, sell, rent or lease property. We simply enable connections between people and entities.

  3. You are responsible for verifying all property details, legal status, financing terms, zoning or any other material facts before entering any agreement.

7. Transparency Consent

By checking the box, you authorize us to:

  • Publicly display your Username, address (or general location), photos, listing details and any other information you supply.

  • Share your User Content with other Users, potential partners and the public to foster trust and facilitate connections.

8. Assumption of Risk; Release; Indemnity

  1. ASSUMPTION OF RISK. You acknowledge that using the Site and any interactions, transactions or agreements entered into with third parties you meet via the Site involve risks, including but not limited to: personal injury, property damage, theft, trespassing, squatters, misrepresentation or fraud.

  2. RELEASE. You hereby fully release and discharge Land Share Network, its owners, employees, associates and affiliates from any and all claims, lawsuits, demands, liabilities, losses, costs and expenses (including attorneys’ fees) arising out of or related to:

    • Your use of the Site or reliance on any User Content;

    • Any agreements, contracts, communications or negotiations with other Users;

    • Any real estate or business transactions, rentals/leases, events or activities arranged through the Site.

  3. INDEMNIFICATION. You agree to defend, indemnify and hold Land Share Network harmless from and against any third-party claim, action or proceeding, and any losses, damages, liabilities or costs (including reasonable attorneys’ fees) arising from:

    • Your breach of these Terms;

    • Your User Content;

    • Your negligence or willful misconduct in connection with the Site or any transaction.

9. Disclaimers of Warranties

THE SITE AND ALL INFORMATION PROVIDED ARE OFFERED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LAND SHARE NETWORK DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAND SHARE NETWORK’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED USD 100. IN NO EVENT WILL LAND SHARE NETWORK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES.

11. Termination

We may suspend or terminate your access to the Site at any time for any reason, including if you violate these Terms. Sections 5 (License Grant), 6 (No Brokerage), 7 (Transparency Consent), 8 (Release, Indemnity), 9 (Disclaimers), 10 (Limitation of Liability), 12 (Governing Law) and 13 (General) survive termination.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Hawaii without regard to conflict of law principles. Any dispute arising out of or related to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Hawaii County, Hawaii.

13. Changes to Terms

We may modify these Terms at any time by posting a revised version on the Site. Your continued use after the effective date constitutes acceptance of the new Terms.

14. General

  1. Severability. If any provision is unenforceable, the remainder remains in full force and effect.

  2. Entire Agreement. These Terms (together with any policies posted on the Site) constitute the entire agreement between you and Land Share Network regarding your use of the Site.
